C H A P T E R    B Y L A W S

ARTICLE I - NAME

1.01 The name of the chapter shall be called the Carolinas TAM Users Group (herein known as "Chapter"). The Chapter shall abide by the rules and regulations established by the Applied Systems Client Network, Inc. (herein known as "ASCnet").

ARTICLE II - PURPOSES

2.01 The purposes for which the Chapter is organized are:

  • to promote insurance automation education and the exchange of automation ideas;
  • to hold meetings for the mutual improvement and education of its Regular Members;
  • and to support ASCnet.

2.02 No part of the net earnings of the Chapter shall inure to the benefit of any private individual; no part of the income of the Chapter shall be distributed to its Regular Members, Company Members, directors, or officers; provided, however, that the payment of reasonable compensation for services rendered or incurred expenses shall not be deemed a distribution of income.

2.03 In the event of the dissolution or liquidation of the Chapter, and after payment of just debts and liabilities, all remaining assets shall be distributed to an organization or organizations organized and operated exclusively for charitable, educational, scholastic or scientific purposes as shall at that time qualify under Section 501 (c) (3) of the Internal Revenue Code, as an exempt organization.

ARTICLE III - ELECTIVE OFFICERS

3.01 The elective offices of this Chapter (herein known as the "Executive Committee") shall be comprised of a President, a Vice President / Treasurer and a Secretary.

3.02 Officers are to be elected for a term of one year.

3.03 The officers for the ensuing calendar year should be elected by the Regular Members at or before the last meeting of the year.

3.04 No Regular Member may hold more than one executive office.

3.05 The term of office will take effect January 1st.

3.06 Officers may continue to serve in their capacity at the discretion of the Regular Members.

3.07 The immediate past-president shall be an ex-officio member of the Executive Committee.

3.08 The Vice President shall assume the duties of any vacated office. If more than one office shall become vacant in the same term, the Vice President shall assume the higher office and a special election shall be held to elect the second vacancy. If the Vice Presidency is vacated, the President shall appoint the successor until the next election.

ARTICLE IV - DUTIES OF ELECTIVE OFFICERS

4.01 PRESIDENT: The President shall be the chief executive officer of the Chapter and shall:

  • preside at all meetings;
  • be a member of the Chapter's Executive Committee;
  • appoint an Education Committee Chair and any other committee chairs deemed necessary to fulfill the purposes of the Chapter;
  • be the liaison between this and other affiliated chapters and ASCnet Board of Directors or Executive Director;
  • represent the Chapter at the ASCnet Annual Education Conference and/or the Mid-Year Advisory Board meetings; and
  • oversee and supervise all Chapter activities.

4.02 VICE PRESIDENT / TREASURER: The Vice President / Treasurer shall have the general

supervision of the financial affairs of the Chapter and shall:

  • aid the President in all official matters;
  • be a member of the Executive Committee;
  • have the authority to bill and collect all income and disburse the funds necessary to carry the activities of the Chapter;
  • maintain a separate bank account for the Chapter and provide a quarterly Treasurer's report to the Chapter;
  • assume the responsibilities of any vacated office;
  • assume duties of the President when the President is not available; and
  • keep attendance and dues records for all Regular Members. A roster shall also be maintained with all users within the Chapter's area, whether dues-paying or otherwise.

4.03 SECRETARY: The Secretary shall:

  • record and publish the minutes of all meetings;
  • be a member of the Executive Committee;
  • inform ASCnet of scheduled meetings, provide agendas and meeting minutes; and
  • be in charge of all Chapter mailing to its Regular Members.

ARTICLE V - MEETINGS

5.01 MEMBERSHIP MEETINGS: Regular meetings of the Chapter shall be held quarterly at a time and place determined by the Executive Committee. Special meetings may be called at any time by the President or any two elected officers.

5.02 OFFICERS MEETINGS: Officers shall meet at the request of the President at least once before each Chapter meeting. A conference call between the elected officers may constitute a meeting for this purpose.

ARTICLE VI - FISCAL YEAR

6.01 The fiscal year of the Chapter shall begin on January 1st and end on December 31st of each subsequent year, to coincide with the fiscal year of ASCnet.

ARTICLE VII - ALLOWED EXPENSES

7.01 The following expenses shall be assumed by the Chapter:

  • group related printing, postage and telephone expenses;
  • overnight accommodations and expenses for the quest speakers / presenters when necessary, reasonable and approved by the Chapter; and
  • travel (air fare expense) plus conference fees and accommodations (limited to a maximum of $500 per year) for the President to attend the ASCnet Annual Education Conference and/or the Mid-Year Advisory Board meeting and any other meetings approved by the Executive Committee.

7.02 Any other expenses shall be presented at a general meeting for approval by the Regular Membership prior to be undertaken.

7.03 At their discretion, and with the permission of the President, the Treasurer is empowered to make any "emergency" disbursements on behalf of the Chapter.

ARTICLE VII - FEES

8.01 The dues for the Chapter shall be established by the Executive Committee and require majority approval of the Regular Membership, and shall be at least sufficient to cover budgeted expenses. The amount of dues established shall be per Regular Member, Company Member, Consultant Associate Member and General Associate Member and shall be due by January 1.

The annual dues shall not include regular meeting costs which shall be charged based on per person attendance and shall be at least sufficient to cover actual expenses, unless a surplus exists which may be used to offset actual/budgeted expenses at the discretion of the Executive Committee. Non-members shall be notified of all meetings, however, a higher non-member fee will be assessed for attendance at all meetings.

ARTICLE IX - MEMBERSHIP

9.01 Each Chapter member shall be a member in good standing of the Applied Systems Client Network, Inc. (ASCnet) having paid their appropriate annual dues.

9.02 Membership shall be restricted to the following:

Regular Member - An insurance agency/brokerage using an Applied Systems product who is also receiving software support from Applied Systems. Individuals taking advantage of the benefits available to regular members must be working for an insurance agency/brokerage for at least 20 hours per week. If you do not meet any of the other three membership categories (Company, Consultant Associate or General Associate) listed below, you must meet the qualifications of the Regular member category in order to be a member of the organization.

Company Members - An insurance company whose business is the sale, marketing or promotion of insurance products or line of products. These insurance carriers must be represented by insurance agents/brokers using properly licensed Applied Systems software. If you meet the qualifications of this category (either full or part time), you shall not qualify as a Regular, Consultant Associate or General Associate member.

Consultant Associate Member - Technical person, and/or automation consultant in an automation related position whose business provides technical and automation related services for both hardware and software. These automation related services are being provided to agent/brokers who are currently using properly licensed Applied Systems software and have applied for and been granted membership by the ASCnet Board of Directors. If you meet the qualifications of this category (either full or part time), you shall not qualify as a Regular, Company or General Associate member.

General Associate Member - Vendor (organization) in an insurance or automation related position whose business is the sale, marketing or promotion of insurance products or accessory line of products/services to insurance agents/brokers. These agents/brokers are currently using properly licensed Applied Systems software and have applied for and been granted membership by the ASCnet Board of Directors. If you meet the qualifications of this category (either full or part time), you shall not qualify as a Regular, Company or Consultant Associate member.

Non-member is defined as the following:

Regular Non-members are those entities that have met the qualifications for the Regular members but have chosen not to join. These non-members may have access to specific benefits and services at a higher cost than members as set by ASCnet policy.

Company Non-members are those entities that have met the qualifications for the Company members but have chosen not to join. These non-members may have access to specific benefits and services at a higher cost than members as set by ASCnet policy.

Consultant Associate Non-members are not entitled to any benefits or services provided by this organization as a Consultant Associate non-member.

General Associate Non-members are not entitled to any benefits or services provided by this organization as a General Associate non-member.

9.03 No restrictions shall be placed upon the number of persons from a member attending meetings.

ARTICLE X - VOTING

10.01 Each Regular Member, with fully paid dues and in good standing, shall be entitled to one (1) vote on any matter.

10.02 Voting will only be allowed by those Regular Members present. No proxy voting will be allowed.

ARTICLE XI - AMENDMENTS and RULES OF ORDER

11.01 The Bylaws as set forth herewith may be amended by a majority vote at any group meeting and must be approved by ASCnet.

11.02 The ASCnet Bylaws Committee will review proposed amendments once annually.

11.03 Robert's Rules of Order, Newly Revised, shall be referred to for rules of order when not specifically referred to herein or as otherwise may be required.

 IX - AMENDMENTS

12.01 The Bylaws as set forth herewith are amended pursuant to the majority vote at the Chapter’s meeting held ____________________ 19 ____ as follows:
